Inspired Entertainment Completes Novomatic Acquisition

New York gaming distributor Inspired Entertainment has completed the acquisition of Gaming Technology Group (NGT). The £100 million purchase was agreed in June and has now been approved by the UK Competition and Markets Authority (CMA).

As part of the deal, Inspired will provide gaming systems and content to around 75,000 gaming machines in land-based establishments around the UK including betting shops, gaming halls and pubs. Additionally, more than 40,000 retail outlets will be supplied with virtual sports products. The company also plans to expand its reach online. To this end it will distribute games to around 100 websites.

Speaking of the deal, Inspired’s Executive Chairman Lorne Weil remarked:

“This acquisition is transformational for Inspired as it unites two highly complementary businesses to create a company that we expect to be a leader in the gaming industry with innovative content, state-of-the-art technology and an expansive footprint. We see significant opportunities across the combined companies to accelerate our growth, expand our reach and set new standards for innovation and service in the industry.”

He went on: “The larger scale of the combined organization will offer a one-stop service for gaming, virtual sports, interactive and leisure products…and a complete gaming solution that operators can use to reach players wherever they are, whenever they want to play and in any channel they choose. We expect to be able to deliver meaningful value to our shareholders as the acquisition is integrated.”

“Inspired and NTG currently operate in different segments but have much in common in terms of providing resources for our customers and their consumers,” Weil said. “This combination would provide additional resources for our core businesses and combine the great content and machine portfolio from each.”

To help complete the purchase, Inspired entered into a new term loan facility which was also used to pay off existing debts and settle associated fees arising from the deal.

Both Inspired Entertainment and NGT have forged considerable reputations within the gambling industry. Established back in 2002, Inspired offers an expansive portfolio of content, hardware and cutting-edge technologies in a number of verticals, including virtual sports, interactive gambling and casino gaming.

NGT is a division of the Novomatic Group and comprises six brands including: Gamestec Leisure, Playnation Limited, AstraGames Limited, Bell-FruitGroup Limited, Harlequin Gaming Limited and Innov8 Gaming Limited.

Gamestec Leisure supplies gaming machines to the UK pubs while Playnation specialises in the distribution of gaming terminals to the holiday and leisure sectors. Innov8 Gaming develops and distributes Category B3 and C gaming machines within NTG and to third-parties.

AstraGames operates in a similar capacity, manufacturing Category B, C and D gambling machines while Bell Group sells Category C machines in Europe. Harlequin serves as a development studio for AstraGames and Bel-FruitGroup.
